PHANA/FOUNDATION AGREEMENT

A.   PURPOSE

This document proposes an initial agreement between The Pathwork Foundation ("Foundation") and the Pathwork Helpers Association of North America (“PHANA”).

Launched in March 2002, PHANA is being developed in a series of phases.  The proposed agreement relates to PHANA as it presently exists, taking into account likely developments within the next 18 months.  It is therefore an initial agreement that will need to be reviewed towards the end of that period.

B.   BACKGROUND

For practical reasons, the version of PHANA that was launched in March 2002 was the simplest possible version -- a voluntary member-based association for individual Pathwork Helpers and Apprentice Helpers in the US and Canada.  The immediate practical focus was the creation of a professional register, the Register of Pathwork Helpers.

It is proposed to develop PHANA further as a member organization by offering additional member services, e.g. improved means of sharing teaching materials among PHANA members.

It is also proposed to develop additional PHANA roles, services, and functions.  One important developmental direction is towards a role relating to professional training – a role normally undertaken by professional associations.  An early step in developing a PHANA role relating to professional training is to organize a Helper Training Meeting, in cooperation with the Foundation.  It is envisaged that this meeting will be attended by senior teachers/leaders of North American Helper training programs, plus representatives of areas in which it may be appropriate to offer new Helper trainings within the next few years.  A major purpose of this meeting will be to achieve wide agreement concerning how far, how fast, and how to proceed with respect to cooperation relating to Helper training, including the development and agreement of guidelines for Helper training programs.

It is possible that future work on helper training guidelines will lead to the creation of a PHANA Register of Pathwork Training Programs.

Four additional potential developments are:

1.   The creation of additional products and services of interest to PHANA members.

Potential services include providing additional publicity for members’ practices, including their workshops and events.  Potential products and services also include distribution of compendia of Pathwork materials useful to PHANA members, e.g. Guide materials such as QAs, materials directly relating to Helpership, listings of useful readings, audio works, and videos.

2.   The creation of guidelines and procedures to enable adequately qualified individual 50/50 Helpers (if they so wish) to be accepted into PHANA and recognized as Pathwork Helpers.

3.   Expansion of PHANA member categories, e.g. to include Pathwork Counselors and/or Helper/Counselor trainees.

4.   The expansion of PHANA beyond the borders of the US and Canada, for example extending PHANA registers to include overseas Helpers and overseas training programs.  This expansion might lead to revision of PHANA’s mandate and to making other significant changes, such as changing PHANA’s name.

C.   MISSION

PHANA is a professional organization of Pathwork Helpers and Apprentice Helpers in the US and Canada.  A principal PHANA aim is to help Pathwork Helpership achieve increased public recognition and trust, for example by fostering greater consistency in training and practice, and by maintaining appropriate publicly accessible professional registers.

Another principal aim is to promote communication, cooperation, mutual understanding, and a sense of community between all Pathwork Helpers and Apprentice Helpers, both within and outside existing Pathwork Regions, Chapters, and Groups

In furtherance of the above aims, PHANA seeks to work with the Foundation, Pathwork Regions, Chapters, Groups, and other Pathwork Helper Associations as and when these are formed in other areas of the world.

Two additional PHANA roles are noted in connection with its mission:

1.   Trademark and Copyright

As a professional organization for Pathwork Helpers and Apprentice Helpers, PHANA actively supports the Foundation’s trademark/copyright policies.  For example, honoring of the Foundation’s copyright and trademark policies is a condition of PHANA membership.  Also PHANA’s Register of Pathwork Helpers directly supports the Foundation’s trademark by identifying qualified practitioners in good standing – a basic trademark-supporting function.

2.   Community Consensus

PHANA seeks to be a vehicle for establishing and communicating the consensus among Pathwork Helpers on matters of consequence to the Pathwork community.  In this role, PHANA engages in initiatives that seek to establish the views of members and/or the wider community on particular issues.  In this role, PHANA may bring matters of consequence to the attention of the Foundation and/or Regions/Chapters, and may ask for appropriate decisions and/or action to be taken.

D.   ORGANIZATION

1.   PHANA Council

PHANA is managed by PHANA Council.  Council’s current composition is as follows:

    Pathwork training programs

Council seeks to include one member for each entity offering Helper Training and/or Pathwork Transformation/Pathwork Studies programs within the US and Canada.  Council invites each of these entities to provide a representative.  Representatives are normally Helpers or Apprentice Helpers.

   Up to 6 additional members

Council invites additional members for the purpose of achieving a better balance of views, e.g. views of Regions, Chapters, and remote areas with high potential for the provision of new training programs.  If possible, Council includes a representative of “The 50/50 Work©”.  Additional members are normally Helpers or Apprentice Helpers.

Council appoints one of its members as Council Coordinator.

Terms of office for Council members and the Coordinator have yet to be defined.

2.   Membership

PHANA seeks the membership of all qualified Helpers and Apprentice Helpers in the US and Canada who commit to the statements listed in Attachment 1.

The statements listed in Attachment 1 may be extended from time to time at the discretion of the PHANA Council.  Council may also create additional member categories, for example for Pathwork Counselors and for Trainee Helpers/Counselors.

E.   AUTHORITY AND REPORTING

PHANA Council enters into contracts in service of PHANA’s mission and PHANA’s administrative needs.   PHANA Council also collects revenue to support PHANA activities, and makes expenditures as it deems necessary to conduct PHANA business.

PHANA currently works within the Foundation’s overall financial policies and within the Foundation’s audit requirements.  PHANA’s financial accounts are currently administered by the Foundation.  At the sole discretion of the PHANA Council, PHANA may withdraw its funds and administer its own accounts, and/or may create additional and separate accounts for particular purposes, e.g. to receive revenue from the sale of products and services.

PHANA also provides the Foundation with regular reports on its activities.  PHANA normally provides a report in advance of each Foundation Board meeting.

The PHANA Coordinator makes him/herself available to attend at least one Foundation Board meeting per year.  Travel and accommodation costs for this attendance are the responsibility of the Foundation.

F.  TERMINATION

The Coordinator of PHANA Council may be replaced at any time by a vote of not less than half the Council membership.

PHANA Council may be replaced at any time through a motion supported by not less than half the PHANA membership.

PHANA Council may wind up PHANA as an association by giving paid-up members 3 months advance notice in writing, and obtaining agreement from not less than half these members to the proposed winding up.

G.   WEB INFORMATION

In the interests of achieving maximum understanding, cooperation and support from the Pathwork community, PHANA and the Foundation will work to create a version of this agreement suitable for mounting on the PHANA web site.  They will also work to create a similar counterpart text relating to the Foundation for mounting on the Foundation web site.
